Beautifully engraved certificate from the Fruit of the Loom issued in 2000. This historic document was printed by the American Banknote Company and has an ornate border around it with a vignettes of the Statue of Liberty standing in front of a globe and the Foot of the Loom logo. This item has the printed signatures of the Company’s President and Secretary. The Company is a leading international, vertically integrated basic apparel company, emphasizing branded products for consumers ranging from infants to senior citizens. The Company is one of the largest producers of men's and boys' underwear, activewear for the screenprint T-shirt and fleece market, women's and girls' underwear, casualwear, and childrenswear, selling products principally under the FRUIT OF THE LOOM®, BVD®, SCREEN STARS®, and BESTTM brand names. In addition, the Company markets a wide assortment of graphically decorated products. These are sold under the brand names FunPals® FunGalsTM and Underoos®. The Company is a fully integrated manufacturer, performing most of its own yarn spinning, knitting, cloth finishing, cutting, sewing and packaging. Management considers the Company's primary strengths to be its excellent brand recognition, low cost production resulting primarily from the offshore location of substantially all of its labor-intensive manufacturing operations, and strong relationships with major discount chains and mass merchandisers. Management believes that consumer awareness of the value, quality and competitive prices of the Company's products will benefit the Company in any retail environment where consumers are value conscious. Organization and Products The Company has organized its business into three areas: (1) retail products (50% of 1998 net sales); (2) activewear (28%); and (3) European business (13%). The products included in the retail business are generally sold to major discount chains and mass merchandisers and consist of (i) men's and boys' underwear; (ii) women's and girls' underwear; (iii) domestic casualwear (i.e., undecorated or ''blank'') T-shirts and fleecewear; (iv) international casualwear T-shirts, 70% of which are sold in Canada, 16% in Mexico and 14% in Japan; and (vi) childrenswear. The products included in the activewear business are sold to large wholesale distributors, who break down bulk purchases for resale to the screenprint market and specialty retailers, and consist primarily of T-shirts and fleecewear. European apparel product offerings generally consist of T-shirts, fleecewear and polo shirts sold to wholesale distributors for resale to the imprint market (63%) and sold to the retail market (37%). These products are sold primarily in Western European countries. Within its three business areas, the Company produces a wide range of basic apparel products and believes that price, product quality and responsive delivery are the most important factors in the sale of these products. The Company's products are divided into seven product categories: (1) men's and boys' underwear, (2) activewear, (3) women's and girls' underwear, (4) casualwear, and (5) childrenswear. 1851 Robert Knight began producing textiles by purchasing a mill in Warwick, Rhode Island. 1856 The name "Fruit of the Loom" is adopted and labels are adhered to bolts of fabric produced by B.B. & R. Knight Corporation. 1871 "Fruit of the Loom" is registered as a trademark in the United States Patent office (#418) one year after passage of the first trademark law by Congress. 1875 The arrangement of three fruits -- an apple, a pear and a cluster of grapes -- is adopted for a Fruit of the Loom label. 1893 The arrangement of the fruit in the logo as seen today, with an apple, grapes, gooseberries and a cluster of leaves, is prepared for the World's Columbian Exposition in Chicago. 1926 Jacob Goldfarb began the Union Underwear Company in Indianapolis, Indiana. The Company produced only the pajama check nainsook "unionsuit". 1938 Union Underwear Company contracted exclusive licensing rights for men's and boys' underwear on the Fruit of the Loom trademark from B.B. & R. Knight Corporation, a popular label already steeped with consumer confidence. 1975 High visibility ads used "Fruit of the Loom Guys" to stress quality and comfort. 1976 Fruit of the Loom Inc. purchased the 'BVD' brand for men's and boys' underwear. 1978 The company launched Underoos® -- a line of decorated children's underwear that quickly became an important product line. 1980 New operating headquarters opened in Bowling Green, Kentucky. 1983 The company entered the ladies underwear market. 1985 Fruit of the Loom was acquired by Farley, Inc. 1986 The company purchased Russell Hosiery and Camp Hosiery. 1987 Fruit of the Loom became a publicly-held company -- the same year the company premiered a full line of activewear at retail, including branded tees, sweatshirts and fleecewear. 1990 The company established itself as a leader in infant's and toddler's underwear -- further strengthening its position in all underwear categories. 1992 Fruit of the Loom had become the recognized leader in basic family apparel. 1993 Fruit of the Loom moved into the licensed sportswear arena, acquiring Salem Sportswear and entering into a licensing agreement to manufacture and market a complete line of athletic activewear under the Wilson® label. 1994 The company acquired Artex Mfg. Inc. and Pro Player to round out the licensed sportswear group. And, with the acquisition of power label Gitano®, Fruit of the Loom remains positioned as an industry leader in basic family apparel. Fruit of the Loom gross sales exceed $2 billion for the first time, reporting $2.3 billion in sales and net earnings of $60 million. 1995 The Childrenswear division launched the Fruit of the Loom 'Winnie the Pooh' layette line. 1996 Fruit of the Loom hosts the largest single day ticketed Country Music Concert in history drawing 240,000 fans to Atlanta, GA for the inaugural CountryFest '96. Pro Player signs a 10 year agreement to be the title sponsor of Pro Player
